These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Picropharm ("Company," "we," "us," or "our") governing your access to and use of the picropharm.org website located at picropharm.org (the "Site") and any associated software applications, services, tools, features, and functionalities provided by Picropharm (collectively, the "Service"). By accessing, browsing, registering for, or otherwise using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must not access or use the Service.

These Terms apply to all users of the Service, including without limitation browsers, registered users, subscribers, and any other parties who interact with or use the Service in any capacity. We recommend that you review these Terms periodically, as we may modify them from time to time in accordance with the provisions set forth below. Your continued use of the Service following the posting of any changes constitutes your acceptance of the revised Terms.

1. Service Description

Picropharm provides a software-as-a-service (SaaS) platform through picropharm.org that enables users to access, utilize, and benefit from our proprietary software tools and related functionalities. The Service is designed to provide cloud-based software solutions accessible via web browsers and, where applicable, mobile applications. The specific features, modules, and capabilities of the Service may vary depending on your subscription plan and the current offerings available at the time of your use.

The Service is provided on a subscription basis, with various tiers and plans available to meet different user needs. We reserve the right to offer, modify, or discontinue specific features, modules, or service tiers at any time without prior notice, subject to the provisions regarding Service Modifications set forth in Section 8 below. The Service is intended for business and professional use, and by using the Service, you represent and warrant that you are using it for lawful purposes only.

We strive to provide a reliable and high-quality Service; however, we do not guarantee that the Service will be uninterrupted, error-free, or completely secure. You acknowledge and agree that Picropharm shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services available on or through any such websites or services.

2. User Accounts

To access certain features of the Service, you may be required to register for an account. When registering, you agree to provide accurate, current, and complete information about yourself as prompted by the registration forms, and to update such information to keep it accurate, current, and complete. If Picropharm has reason to believe that any information you provide is inaccurate, incomplete, or not current, we reserve the right to suspend or terminate your account and refuse any and all current or future use of the Service.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any associated authentication tokens or keys. You agree to immediately notify Picropharm of any unauthorized use of your account or any other security breach of which you become aware. You accept responsibility for all activities that occur under your account or through the use of your credentials, whether or not you authorized such activities. Picropharm shall not be liable for any loss or damage arising from your failure to comply with these security obligations.

One person or legal entity may not maintain multiple accounts for the purpose of circumventing usage limits, abusing free trial periods, or otherwise violating these Terms. Conversely, you may not share a single account among multiple users unless your subscription plan explicitly permits shared or team access. If your subscription plan allows for multiple users or seats, you remain responsible for all activities conducted under your account by any authorized users you have invited or permitted to access the Service.

If you are registering an account or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms and that you are entering into this Agreement on behalf of that entity. In such cases, "you" and "your" shall refer to both you individually and the entity on whose behalf you are acting, jointly and severally.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. Your use of the Service must comply with all applicable local, state, national, and international laws, regulations, and treaties, including without limitation those related to data privacy, intellectual property, consumer protection, and the transmission of technical data exported from the United States or the country in which you reside.

You agree not to misuse the Service by interfering with its normal operation, attempting to access it through means other than the interfaces, instructions, or methods authorized by Picropharm, or using it in any manner that could damage, disable, overburden, or impair the Service. You must not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any software comprising the Service, except to the extent that such restrictions are expressly prohibited by applicable law.

You are responsible for ensuring that your use of the Service does not violate any agreements or obligations you have with third parties, including employers, clients, or other service providers. If you use the Service to process, store, or transmit data belonging to third parties, you represent and warrant that you have obtained all necessary rights, consents, and authorizations to do so, and that your use of the Service in connection with such data complies with all applicable laws and these Terms.

Picropharm reserves the right to investigate suspected violations of this Acceptable Use Policy and to take appropriate action, including without limitation suspending or terminating accounts, removing content, restricting access, and reporting violations to law enforcement authorities. We may cooperate with law enforcement agencies and third parties in the investigation of suspected or alleged violations of law or these Terms.

4. Prohibited Activities

You agree that you will not, and will not permit or enable any third party to, engage in any of the following prohibited activities in connection with the Service:

  • Using the Service to transmit, store, or display any content that is unlawful, defamatory, libelous, harassing, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable;
  • Infringing upon or violating the intellectual property rights, privacy rights, or any other rights of any person or entity;
  • Uploading, posting, emailing, or otherwise transmitting any content that contains viruses, worms, Trojan horses, time bombs, or other harmful computer code, files, or programs;
  • Attempting to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means;
  • Using the Service to send unsolicited commercial communications, spam, or other mass messaging without appropriate consent;
  • Interfering with or disrupting the Service, servers, or networks connected to the Service, or disobeying any requirements, procedures, policies, or regulations of networks connected to the Service;
  • Using the Service to engage in any fraudulent, deceptive, or illegal activity, including but not limited to money laundering, terrorism financing, or violations of securities laws;
  • Scraping, crawling, or using automated tools to extract data from the Service without express written permission from Picropharm;
  • Reselling, sublicensing, or redistributing the Service or any portion thereof without prior written authorization;
  • Using the Service in any manner that could reasonably be expected to harm, impair, or negatively affect the Service, Picropharm, or any third party.

Violation of any of these prohibited activities may result in immediate suspension or termination of your account, forfeiture of any prepaid subscription fees, and may subject you to civil or criminal liability. Picropharm reserves the right to determine, in its sole discretion, whether any activity constitutes a violation of these Terms.

5. Content Ownership

The Service, including its design, architecture, features, functionality, user interface, documentation, and all underlying software, databases, and technology, is owned by Picropharm and is protected by United States and international intellectual property laws. These Terms do not grant you any right, title, or interest in or to the Service or any Picropharm intellectual property, except for the limited right to use the Service in accordance with these Terms and your subscription plan.

All trademarks, service marks, logos, trade names, and brand identifiers associated with Picropharm and the Service are the exclusive property of Picropharm or its licensors. Nothing in these Terms should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any such marks without the prior written permission of Picropharm or the applicable owner. Any use of such marks must comply with the branding guidelines provided by Picropharm from time to time.

Picropharm retains all right, title, and interest in and to all improvements, modifications, enhancements, and derivative works of the Service, whether developed by Picropharm or by third parties on its behalf. You acknowledge that the Service contains proprietary and confidential information, and you agree not to disclose, copy, or distribute any such information to any third party without the prior written consent of Picropharm.

Any feedback, suggestions, ideas, or recommendations you provide to Picropharm regarding the Service ("Feedback") may be used by Picropharm without restriction and without any obligation of confidentiality or compensation to you. You hereby irrevocably assign to Picropharm all right, title, and interest in and to any Feedback, and Picropharm is free to use such Feedback without attribution or compensation.

6. User-Generated Content

You may have the opportunity to create, upload, post, transmit, or otherwise make available content through the Service, including data, text, images, files, and other materials ("User Content"). You retain all ownership rights in your User Content. By making User Content available through the Service, you grant to Picropharm a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, prepare derivative works of, display, and perform your User Content solely for the purpose of operating, providing, improving, and developing the Service.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to use and authorize Picropharm to use your User Content as described in these Terms. You further represent and warrant that your User Content does not and will not infringe upon or misappropriate the intellectual property rights or any other rights of any third party, and that your User Content complies with all applicable laws and these Terms.

Picropharm does not claim ownership of your User Content and is not responsible for its accuracy, completeness, or appropriateness. However, Picropharm reserves the right to review, monitor, edit, or remove User Content at any time and for any reason, without prior notice, if we believe in our sole discretion that such content violates these Terms or is otherwise objectionable. We have no obligation to monitor User Content but may do so to ensure compliance with these Terms and applicable law.

You are solely responsible for backing up and preserving copies of your User Content. Picropharm shall not be liable for any loss, corruption, or deletion of User Content, whether caused by system failure, account termination, or otherwise. We recommend that you maintain independent copies of all important data and content stored on the Service.

7. Payment Terms

Access to certain features of the Service may require payment of subscription fees. The fees for the Service are described on the Site and may be changed by Picropharm from time to time. Unless otherwise stated, all fees are quoted in United States dollars and are exclusive of applicable taxes, which you are responsible for paying. By subscribing to a paid plan, you authorize Picropharm to charge the applicable fees to your designated payment method on a recurring basis in accordance with your selected billing cycle.

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing cycle unless you cancel it prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting [email protected], but cancellation will not result in a refund of fees already paid for the current billing period, except as expressly provided in these Terms or required by applicable law.

If any payment is declined, returned, or disputed, Picropharm may suspend or terminate your access to the Service until payment is received in full. You are responsible for all costs and expenses incurred by Picropharm in collecting overdue amounts, including reasonable attorneys' fees and collection agency fees. We may offer refunds or credits at our sole discretion, and any such offer does not constitute a waiver of our right to refuse refunds in the future.

Picropharm may offer free trials or promotional pricing for certain plans. Free trials are limited to one per user or organization and are subject to additional terms and conditions that will be presented at the time of sign-up. At the end of a free trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. You are responsible for reviewing the terms of any free trial or promotional offer before participating.

8. Service Modifications

Picropharm is continually innovating and improving the Service, and as part of these efforts, we may modify, add, or remove features, functionalities, or components of the Service at any time and without prior notice. We may also release new features, tools, or services that are subject to additional or updated terms. By continuing to use the Service after any such modifications, you agree to be bound by any revised or additional terms that may apply.

We may also modify these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of these Terms. We will make reasonable efforts to notify users of material changes, such as by posting a notice on the Site or sending an email to the address associated with your account. However, it is your responsibility to review these Terms periodically for changes. Your continued use of the Service after any changes to these Terms become effective constitutes your acceptance of the revised Terms.

If you do not agree to any modified terms, your sole and exclusive remedy is to discontinue using the Service and cancel your subscription. Picropharm shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service or any features thereof, except as expressly provided in these Terms or required by applicable law.

We reserve the right to temporarily or permanently discontinue the Service or any part thereof with reasonable notice. In the event of a permanent discontinuation, we will provide you with advance notice and an opportunity to export your User Content. We may, at our discretion, provide prorated refunds for any prepaid subscription fees covering the period after the Service discontinuation date.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Picropharm, its officers, directors, employees, agents, affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or in any way connected with your access to or use of, or inability to access or use, the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Picropharm has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Picropharm and its affiliates, officers, directors, employees, agents, licensors, and service providers arising out of or relating to these Terms or the Service, regardless of the form of action, shall not exceed the greater of (a) the amount you have paid to Picropharm for the Service in the twelve (12) months preceding the event giving rise to the liability, or (b) fifty United States dollars ($50.00). This limitation of liability shall apply even if the remedies provided for in these Terms fail their essential purpose.

The limitations and exclusions in this section reflect a reasonable allocation of risk between you and Picropharm and form an essential basis of the bargain between the parties. You acknowledge that Picropharm would not be able to provide the Service at its current pricing without these limitations. Some jurisdictions do not allow the exclusion or limitation of certain types of damages or liability, so some of the above limitations may not apply to you to the extent prohibited by applicable law.

You acknowledge and agree that Picropharm is not responsible for any damage to your computer, hardware, software, or data resulting from your use of the Service, and you are solely responsible for maintaining adequate backup and security measures for your systems and data. Picropharm shall not be liable for any third-party conduct or content, including User Content, and you agree to look solely to the third party responsible for any damages or losses arising therefrom.

10. Termination

You may terminate your account and cancel your subscription at any time by following the instructions in your account settings or by contacting [email protected]. Upon termination, your right to use the Service will cease immediately, and we may delete your account and all associated User Content. Termination does not relieve you of any obligation to pay fees accrued prior to the effective date of termination.

Picropharm may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, if we believe in our sole discretion that you have violated these Terms, engaged in conduct harmful to Picropharm or other users, or if required by law. Upon such termination, Picropharm shall have no obligation to provide a refund of any prepaid fees, except as required by applicable law.

Upon any termination of these Terms, all licenses and rights granted to you under these Terms shall immediately cease, and you must immediately stop using the Service and destroy all copies of any materials obtained from the Service. The following sections shall survive termination: Content Ownership, User-Generated Content, Payment Terms (with respect to outstanding obligations), Limitation of Liability, and any other provisions that by their nature should survive.

Picropharm shall not be liable to you or any third party for any termination of your account or access to the Service. The provisions regarding survival, along with any other provisions that by their nature are intended to survive, shall continue in full force and effect following any termination of these Terms.

These Terms are governed by and construed in accordance with the laws of the applicable United States jurisdiction, without regard to its conflict of law provisions. Any disputes arising under or relating to these Terms shall be resolved in accordance with applicable US state law. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The failure of Picropharm to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and Picropharm with respect to the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
